These Terms of Service ("Terms") govern your access to and use of the HEMZO Real Estate Brokerage LLC website at www.hemzo.ae (the "Site") and the real estate advisory, brokerage, and related services provided by HEMZO Real Estate Brokerage LLC ("HEMZO", "we", "us", "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site and our services.
1. Service Scope
HEMZO is a real estate brokerage registered with the Real Estate Regulatory Agency (RERA) and operating in the Emirate of Abu Dhabi, United Arab Emirates. Our services include:
- Property advisory and brokerage for off-plan and secondary-market transactions.
- Investment strategy and portfolio advisory.
- Asset management referrals and after-sales support.
- Client advisory services, including market analysis and regulatory navigation.
Important: The information and services we provide constitute real estate brokerage and advisory services — not legal, tax, accounting, or financial advice. We are not licensed to provide legal, tax, or financial planning advice. You should consult qualified professionals before making investment decisions. Any market data, yield projections, or valuations provided by HEMZO are estimates based on information believed to be reliable, but we make no warranty as to their accuracy or completeness.
2. User Obligations & Representations
By using the Site and our services, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into contracts under UAE law.
- All information you provide to us (including identity, contact, and financial qualification data) is accurate, current, and complete.
- You will use the Site lawfully and will not misuse, disrupt, or attempt to gain unauthorised access to any part of the Site or our systems.
- You will not scrape, copy, or redistribute listing data, content, or materials from the Site without our prior written consent.
- You understand that property transactions in the UAE require compliance with RERA regulations, AML/CFT requirements, and developer-specific procedures.
3. Intellectual Property
All content on this Site — including but not limited to the HEMZO name, logo, monogram, wordmark, typography, page designs, illustrations, SVG icons, written copy, market commentary, and any listings data — is the exclusive property of HEMZO Real Estate Brokerage LLC or its licensors, and is protected by applicable intellectual property laws of the United Arab Emirates.
You may view and print pages from the Site for your personal, non-commercial use only. You may not reproduce, republish, distribute, modify, create derivative works of, publicly display, or commercially exploit any content without our prior written consent. The HEMZO name and logo are registered trademarks and may not be used without authorisation.
Property listings, photographs, and associated data remain the property of the respective developers, owners, or their authorized agents, and are displayed on the Site under brokerage agreements. Unauthorised reproduction of listing content may infringe the rights of third parties.
4. Commission & Fee Disclosure
HEMZO earns commission on successful property transactions in accordance with RERA guidelines and prevailing market practice in Abu Dhabi. The standard framework is as follows:
- Sales (off-plan and secondary): commission is typically 2% of the property purchase price, payable by the buyer, in addition to the DMT transfer fee and administrative charges. The exact commission is disclosed and agreed in writing in the brokerage agreement prior to any transaction.
- Leasing: commission is typically 5% of the annual rent for residential tenancies, in accordance with Abu Dhabi tenancy regulations.
- Investment advisory: fees for portfolio advisory or asset management services are agreed in a separate engagement letter and disclosed in advance.
All commissions and fees are disclosed in writing before you commit to any transaction. We do not receive undisclosed kickbacks or hidden commissions from any party. Where we receive a referral fee from a third party (e.g. a mortgage broker), we will disclose this to you in writing.
5. Limitation of Liability
To the maximum extent permitted by UAE law, HEMZO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Site or our services. Our aggregate liability for any direct damages arising out of or related to these Terms or our services shall not exceed the commission actually paid to us in the relevant transaction.
The Site is provided on an "as is" and "as available" basis. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that listings remain accurate or available. Property details, prices, and availability are subject to change without notice and must be confirmed in writing.
6. Regulatory Compliance
HEMZO operates in accordance with the regulations of the Real Estate Regulatory Agency (RERA), the Abu Dhabi Real Estate Centre (ADREC), and the Department of Municipalities and Transport (DMT). Our brokerage activities comply with:
- Abu Dhabi Real Estate Sector Law and implementing regulations.
- RERA Code of Conduct for real estate brokers.
- UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (see our Privacy Policy).
- UAE AML/CFT legislation and the Central Bank's guidelines on real estate sector compliance.
Client funds are never held by HEMZO directly; all transaction payments are processed through regulated escrow accounts administered by approved UAE banks and developers in accordance with law.
7. Privacy
Your use of the Site and our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Site, you consent to the data practices described in that policy.
8. Third-Party Links & Content
The Site may contain links to third-party websites (e.g. developer portals, government services, social media) that are not controlled by HEMZO. We are not responsible for the content, accuracy, or practices of any third-party site and disclaim liability for any damages arising from your use of such sites. Links are provided for convenience only and do not imply endorsement.
9. Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms, our services, or any property transaction facilitated by HEMZO, the parties shall first attempt to resolve the matter amicably through good-faith negotiation for a period of 30 days from written notice.
If the dispute cannot be resolved amicably, it shall be referred to mediation under the rules of the Abu Dhabi Conciliation and Arbitration Centre or the UAE Ministry of Justice Alternative Dispute Resolution Centre. Any dispute that remains unresolved after mediation shall be finally resolved by the courts of the Emirate of Abu Dhabi in accordance with UAE federal law.
Notwithstanding the above, HEMZO may seek interim or injunctive relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights.
10. Governing Law & Jurisdiction
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws of the Emirate of Abu Dhabi. The courts of Abu Dhabi shall have exclusive jurisdiction over any claims, except where UAE federal law mandates another forum.
11. Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date at the top of this page indicates the most recent revision. By continuing to use the Site after changes take effect, you agree to be bound by the revised Terms. Material changes will be highlighted on the Site.
12. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or regulator of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy and any signed brokerage or advisory agreement, constitute the entire agreement between you and HEMZO with respect to the use of the Site and our services, and supersede all prior or contemporaneous communications, representations, or understandings.
